摘要随着经济全球化的不断发展,顺应经济潮流,越来越多的国内企业选择在海外开拓新的市场。为了获得更多的利益和占领更多的市场份额,提高在国际市场上的竞争力,促进市场经济的发展,因此,中国企业大多都选择对国外企业进行并购的方式,海外并购是企业想要成长起来的重要途径,虽然近几年来中国企业进行海外并购的势头很强大,在全球的并购数量上,中国企业占据着很大一部分,但是从近几年的情况来看,很多国内企业在进行海外并购后并没有达到预期的效果,很多企业的并购都是以失败的结果告终。企业在进行海外并购不仅是简单的国际投资问题,更重要的是涉及企业在并购后对彼此之间的文化差异、人力资源配置和管理的整合。45557

Abstract
With the development of economic globalization, comply with the economic trend, more and more domestic enterprises choose to open up new markets in abroad. In order to obtain more benefits and occupy more market shares, improve the competitiveness in the international market, to promote the development of the market economy, therefore, lots of Chinese companies would like the way of merger and acquisition of foreign enterprises, overseas M&A is an important way for enterprises whom want to grow up more quickly, although in recent years Chinese enterprises to carry out overseas mergers and acquisitions momentum is very strong, in the amount of global M & A, Chinese enterprises occupy a large part, but from the situation in recent years, many domestic enterprises in overseas mergers and acquisitions and did not achieve the desired effect, a lot of enterprises merger is ended in failure results. Enterprises in the overseas merger and acquisition not only capital is a major challenge, but also the more important is the enterprise after the merger of the cultural difference between each other and personnel allocation and management integration.
In order to comprehensive analysis of domestic enterprises in the overseas M&A after the development, this paper will use many different case, analyze from the influence of different aspects on the cultural integration, human resources and accounting perspectives on the performance and consequences.
