摘要随着国际竞争加剧，跨国并购已成为国际直接投资的主要方式。作为新兴的市场经济国家，中国政府及相关企业也认识到跨国并购的积极意义。温家宝总理也在政府工作报告中提到，金融危机下积极拓展市场，对经济发展是必须的，要扩大内需绝不能放松出口。面对外部需求急剧萎缩、国际贸易保护主义抬头的严峻形势，要加大对进出口工作的支持力度，要支持各类有条件的企业对外投资和开展跨国并购，充分发挥大型企业在“走出去”中的主力军作用。本论文概括了我国民营跨国并购的现状并对制约其因素进行了分析，探讨了在并购中我国民营企业存在的问题，最后提出几点相关对策。关键词 民营企业 海外并购 并购整合毕 业 论 文 外 文 摘 要9733

Abstract
With the intensifies of transnational competition, Cross-border M & A has become a major method of foreign direct investment，and playing an increasingly important role. As an emerging market economy country, the Chinese government and enterprises have also recognized the positive significance of cross-border M & A. Premier WenJiabao's government work report also mentioned that the emphasis on expanding domestic demand，exports should not be overlooked either. The face of a sharp contraction in external demand，international trade protectionism of the grim situation， it is necessary to increase the import and export support for the work，and to support various types of enterprises qualified to carry out cross-border investment and mergers and acquisitions，and give full play to large enterprises in "going out "the role of the main force. This article summarizes the current status of China's cross-border mergers and acquisitions and the factors restricting the analysis to explore the question of its existence，the final response to make a few points.

1 绪论
1.1 研究背景
随着国际竞争加剧，跨国并购已成为国际直接投资的主要方式。作为新兴的市场经济国家，中国政府及相关企业也认识到跨国并购的积极意义。而海外并购活动的成败不仅影响着各大企业的决策与发展，甚至会影响到并购国与东道国的国家经济以及全球经济的格局。经过20多年的努力，作为中国经济重要组成部分之一的民营企业发挥着越来越大的作用，创造的产值占GDP的比重不断上升，通过海外并购走出国门的步伐也在不断加快。2000年10月，浙江万向集团并购美国舍勒公司，次年8月并购在纳斯达克上市的UAI公司，由此开创了民营企业海外并购的先河。随着全国各地又有多家民营企业进行了尝试，民营企业国际化势头愈演愈烈。 新形势下中国民营企业海外并购探析:http://www.751com.cn/jingji/lunwen_8542.html
