摘 要：企业并购是伴随经济全球化不断深入而形成的一种必然趋势，它能够给企业带来潜在的效益。通过国内外企业的并购特点极其动因我们可以看出，并购属于投资行为，企业的财务活动贯穿于投资的整个过程，通过它能全面的了解企业的经营状况，这就要求企业的决策者们经常对其财务状况进行分析，树立一定的风险意识，同时还要针对可能的风险建立相应的防范机制。本文着重从目标企业的价值评估风险，融资组合风险，支付方式风险，流动性风险以及并购后整合期风险等方面分析总结财务风险的形成及影响，并提出相应的防范与措施。56760

Abstract：Enterprise m&a is accompanied by the deepening of economic globalization and form a kind of inevitable trend, it can bring the potential benefits to the enterprise. From the characteristics of the enterprise mergers and acquisitions and mergers and acquisitions at home and abroad and the practice of enterprise of mergers and acquisitions, mergers and acquisitions is a kind of investment behavior. 1 引言
