国有企业中石油公司治理存在的问题及对策

摘要本文采用净资产收益率（ROE）作为衡量绩效的指标，分析中石油14年来的绩效情况，发现中石油近几年的公司绩效情况并不是很理想，如何提高中石油的公司绩效这个问题亟待解决。通过一些已有的研究发现，公司治理能对公司绩效产生积极的作用。本文将完善公司治理机制作为提高公司绩效的方法，通过衡量公司治理水平的综合治理变量Totgov，选择了包含公司内部治理机制和外部治理机制两个方面的6个无条件公司治理变量，来衡量中石油从上市以来14年的公司治理水平。依据研究分析的结果，本文发现综合治理变量Totgov选择的751个公司治理变量中，对中石油绩效影响较大的有国有股持股比例（stshare）、公司控制市场和对最大股东掏空行为的制约(cstr2-10)、董事长两职状态( ceodir)和董事会会议频率（dirmt）。本文重点从这几个变量来分析中石油公司治理机制不完善的地方，提出了相对的完善中石油公司治理的建议。而中石油作为典型的国有企业，它存在的问题在我国的国有企业普遍存在，这些建议对其它的国有企业具有一定的借鉴意义，为促进我国的国有企业改革提供一种可行的办法。19481

Title Problems and Measures of Corporate governance in State-owned enterprises——A case study on China National Petroleum Corp.
Abstract
In this paper, using ROE as a measure of performance indicators, we analyze the Enterprise performance of China National Petroleum Corp. in recent 14 years, and find that the situation is not very satisfactory. How to improve the performance of China National Petroleum Corp. should be solved. Through a number of existed studies, we have found that Corporate governance have a positive effect on Enterprise performance. This paper uses the Corporate governance as a way to improve Enterprise performance. We chose six unconditional variables of Corporate governance to measure the level of Corporate governance of China National Petroleum Corp. in last 14 years.
According to the results of our research, we find that among the six corporate governance variables of Totgov, stshare , cstr2-10, ceodir and dirmt have a large effect on Enterprise performance of China National Petroleum Corp.. This paper focuses on these variables to analysis the shortage of Corporate governance of China National Petroleum Corp..and give some advices. These advices have some reference to other state-owned enterprises, providing a viable way to promote China's state-owned enterprise reform.
