摘要：公司治理是作为一种经营和组织公司事务的制度体系，其目标是实现各个利益方的最大化价值。公司的治理结构影响着公司的日常运营，良好完善的治理结构有利于公司的健康发展。通过对治理结构特点的总结研究，我们可以发现公司目前可能存在的问题。保险类公司有着其行业的特殊性，保险类公司的治理结构更加值得我们重视。而中国平安公司在我国保险业内具有重要的代表意义，文章通过对中国平安公司的治理结构特点进行分析评价，然后初步探讨目前我国保险公司治理存在的问题，并尝试提出相应的优化路径，以期对我国上市保险公司治理的完善提供依据和参考。51815

Abstract：Corporate governance is organized as a business and affairs of the company institutional system, whose goal is to maximize the value realization of various stakeholders. Corporate governance structure influences the company's daily operations, good sound governance structure conducive to the healthy development of the company. By summing up the study of the characteristics of the governance structure, we can see that the company is currently possible problems. Insurance company has its particularity industry, insurance company's governance structure is more worthy of our attention. While Ping An Insurance Company OF China has an important representative of significance in our country, the paper by Ping An's governance structure characteristics were analyzed and evaluated, and then be able to find at present China's insurance corporate governance problems in order to try to put forward the corresponding optimal path, hoping to Perfection of corporate governance of listed insurance contribute their efforts.
