摘 要:高管薪酬制度的不合理,不仅对高管起不到真正的激励作用,而且可能导致高管行为的异化和优秀高管人才的流失,影响到公司经营状况和整体竞争力,影响企业绩效。本文旨在通过对我国上市公司高管薪酬与企业绩效相关关系的实证研究,探讨我国上市公司企业绩效与高管薪酬之间的关系,针对我国企业普遍存在的问题,提出初步合理的建议,同时也为我国的上市公司薪酬激励制度提供部分理论支持。57387
本文在研究企业绩效与高管薪酬相关性时,采取了定性研究与定量研究相结合的方法。以委托代理理论和人力资本理论为基础,以2008-2012年度我国上市公司8791个样本数据为样本,并以武汉钢铁股份有限公司为例,应用EXCEL2010和SPSS21.0对本文数据进行处理,进行了实证检验。

Abstract:Unreasonable executive compensation system not only poses a threat to the incentive effect to executives, but also leads to the alienation of executive behaviors and the loss of excellent talent, thus having a negative impact on companies, operating conditions, the overall competitiveness and the corporate performance. Through the practical research on the executive compensation and corporate performance in Chinese listed companies, this article aims at the relations between Chinese listed companies, performance and executive compensation. In view of the common problems among domestic enterprises, I will put forward reasonable advices and provide some theoretical support for the incentive compensation system of domestic listed companies.
I used quantitative research and qualitative research in the research of companies, performance and executive compensation. Based on the principal-agent theory and human capital theory, Moreover, I made an empirical test by using the 8792 sample data of Chinese listed companies from 2008 to 2012 and applying the EXCEL2010 and SPSS21.0 in analyzing the figures.

1.1 研究的背景与意义
在当前的市场经济迅猛发展的同时,具有高市场灵敏度和先进管理体系的企业一般情况下会将企业的所有权和经营权分离,在这种情况下,职业经理人等高管人员应运而生。他们与委托人签立契约,建立起受托代理关系,受企业所有者的委托对企业进行经营管理。
