摘 要: 手表定律又被定义为矛盾选择定律，是说当一个人身边有一个手表，可以清楚的知道当时是几点，如果同时有两只手表，就没办法肯定。在合并过程中，最困难的问题是标准的问题，当两个企业的文化背景，管理理念，经营习惯不一致，没有调整好，就会造成混乱，甚至造成企业利益的大损失。本文依据该定律，运用分析比较法，首先了解阿里并购UC之前双方自身所采用的企业管理标准，结合并购初期出现的问题找出不同管理方法之间的矛盾，最终对存在的问题进行解决，促使并购成功的过程。研究表明手表定律在企业并购中便于尽快找出问题，加快并购速度。本文的研究方法与视角有所创新。59143

Absract：Watch law is also defined as the contradiction of selection principle, is that when a person has a watch around, can know what time it is, if there are two watches, there is no way sure. In the merger process, the most difficult problem is the standard problem, when the two enterprise culture background, management concept, management habits are not consistent, not adjusted, it will cause confusion, or even cause great loss of business interests. According to the law, using the comparative analysis, first understand Ali and UC what standard they used before the merger, with the initial acquisition problems to find out the contradiction between different management methods, finally the problems to solve, promote successful mergers and acquisitions process. Research shows that watch law in corporate mergers and acquisitions in order to find the problem as soon as possible, accelerate the speed of mampa. The research method and innovation perspective.
